Diese bedarf als EU-Verordnung keines Umsetzungsaktes in innerstaatliches Recht und wirkt daher schon selbst unmittelbar, vgl. Art. 288 Abs. 2 AEUV. Bestandteil der MAR sind dabei Regelungen, welche Mitteilungs- und Veröffentlichungspflichten für bestimmte Eigengeschäfte von Personen, die Führungsaufgaben wahrnehmen sowie für Personen, die in enger Beziehung zu ihnen stehen ¿ sogenannte Directors' Dealings ¿, statuieren. Diese Art von Geschäften war bis dato Bestandteil von § 15a WpHG a.F., welcher mit Inkrafttreten der MAR obsolet wurde. Die wesentlichen Regelungen zu Directors' Dealings bzw. nun ¿Managers Transactions¿ finden sich in Art. 19 MAR. Der Rechtsanwender wird sich in Zukunft auf einen neuen Rechtsrahmen einstellen müssen. Mitteilungspflichten für Geschäfte von Führungspersonen eines Emittenten werden sich dabei zukünftig aus der MAR und der in Folge dieser Vorschrift erlassenen Delegierten Verordnung und Durchführungsverordnung der Europäischen Kommission ergeben. Handlungsbedarf besteht in der Praxis dabei nicht nur für Emittenten mit Zugang zum regulierten Markt, sondern auch für Freiverkehrsemittenten und ihre Führungspersonen. Diese Arbeit verfolgt dabei das Ziel, die nun bestehende Rechtslage zu analysieren und in einen Vergleich zur bisherigen Rechtslage zu setzen. Dabei wird zunächst der Rechtsrahmen der Directors' Dealings Vorschriften untersucht (II.), auf die Regelungsziele näher eingegangen (III.), der persönliche und sachliche Anwendungsbereich bestimmt (IV.) und anschließend ein inhaltlicher Vergleich der Vorschriften vorgenommen (V. - VIII.). Inzident sollen die sich aus der Anwendung des neuen Marktmissbrauchsrechts ergebenden Probleme aufgegriffen und nach sachgerechten Lösungen gesucht werden.
